Our Corporate Practice Group represents clients in a broad spectrum of sophisticated transactions. We also have extensive experience advising our clients in connection with day-to-day legal issues that arise in their businesses. In fact, for many of our clients, we serve as outside general counsel, and those clients rely on us to advise them with respect to all of their legal needs, coordinating with their other advisors and frequently calling upon the expertise of the attorneys in our other practice groups.

Within the Corporate Practice Group, our work for our clients extends to multiple fronts as our clients' needs dictate, including the "Big Three" areas of corporate representation:

  • Capital Markets and Financing -- We represent domestic and international issuers, purchasers, underwriters and placement agents in connection with the offering, issuance and sale of substantially all types of securities. Our attorneys work in both public offerings and private placements, PIPEs, and convertible debt and equity to foreign investors in compliance with Regulation S. Our attorneys handle transactions ranging from small venture capital start-ups to multimillion dollar transactions for large established companies. Our experienced team advises clients, both issuers and underwriters, on initial and subsequent offerings of securities and compliance with U.S. federal securities laws.
  • Mergers and Acquisitions -- We negotiate and manage mergers; sales and purchases of assets, subsidiaries and divisions; going-private transactions; MBOs; spin-offs; fairness opinion and corporate governance matters; and related transactional and M&A advisory engagements. Our attorneys represent buyers, sellers, investors, shareholders, boards of directors and special committees, financial advisors and investment banks, broker-dealers and lenders in structuring, negotiating and consummating complex international and domestic change-in-control transactions, stock-for-stock exchanges, mergers of equals, cash-out mergers and other methods of business combination for large, mid and small cap companies, as well as privately held businesses.
  • Corporate Governance -- We represent publicly traded and closely held corporations and business organizations, as well as emerging entities, individuals, charitable (or not-for-profit) institutions and entrepreneurs. We represent clients across multiple industry segments with respect to acquisitions, stock purchases and asset sales for closely held companies, corporate governance and audit committee matters, new business ventures and strategic alliances, employment and executive compensation matters, technology and trademark licensing and franchising and, with respect to publicly traded companies, a broad range of federal securities regulatory and compliance matters and transactions. We advise boards of directors and other stakeholders on matters from general corporate governance issues -- for both public and private companies -- to compliance with their statutory and fiduciary duties to developing strategies to retain or obtain control or force a transaction in which the parties can unwind their relationship.
